ETHICAL PRINCIPLES OF YILDIZLAR YATIRIM HOLDİNG A.Ş. AND GROUP COMPANIES

The Ethical Principles and Working Principles refer to a set of behaviours based on integrity. Ethical Principles target to guide all parties in business processes to act not only with legal and commercial however also ethical responsibility. Ethical Principles organize/regulate the relationships of customers, employees, business partners and suppliers with relevant public institutions and society. The Ethical principles in question apply to Yıldızlar Yatırım Holding A.Ş. in terms of its responsibilities of Group Companies' suppliers, customers, business partners and third party towards the intermediaries stakeholders and the environment. The Supplier, Customer, Contractor and/or third party intermediary hereby declares the following.

BASIC ETHICAL PRINCIPLES

Observing the Fundamental Human Rights and Employee Rights

Respect for human rights and freedoms is the main objective and the same diligence should be shown in all business activities, including business partners, customers and suppliers. The use of child labour is never acceptable. No supplier or customer may use Children as labour force. No employee can be subject to any forced labour, all employees are valued and equal opportunities are provided.

Occupational Health and Safety of Employees

Health and safety of Workers must be fully ensured in workplaces and on the job. The employees act according to the rules and instructions set for this purpose and take the required precautions. Employees cannot keep any items or substances that pose a danger to the workplace and/or workers or are illegal in their workplaces.

Compliance with Law and Rules and Legal Obligations

All activities and operations at home and abroad are performed pursuant to the laws of the countries in which we operate and international law. The accurate and timely communication should be emphasized in relations with regulatory and supervisory institutions and organizations. 

Impartiality, Fairness and Justice

All business relations must be approached without discrimination, fairly and without prejudice. While carrying out duties and responsibilities, there should be no discrimination in terms of differences such as language, religion, race, gender, ethnicity and political opinion. 

Confidentiality

Confidential information of employees, business partners and customers must be preserved/protected.

Transparency and Integrity

We, As Yıldızlar Yatırım Holding, observe the principles of accuracy, honesty and transparency in all processes while performing our activities.

Fighting Corruption and Bribery

Any form of corruption or bribery shall not be tolerated and they shall not be engaged in in any way, directly or indirectly. Do not give, offer or promise anything of value to a government official or private sector counterparty for the purpose of influencing official acts or obtaining unfair advantage.

Environmental Awareness, Respect and Security

While performing all activities, it is mandatory to act not only for the purpose of profitability, however also for the social benefit, with the principles of protecting and respecting the environment. Activities should be carried out to develop methods to protect natural resources such as energy and water and to use energy and materials efficiently. The recycling and reuse processes should be implemented in order to diminish the amount of wasted prevent air, water and soil pollution.

Protecting Personal Data

The employees are obliged to act pursuant to the laws, regulations and policies relating to the protection of personal data (general data processing, special data processing, storage and destruction) and the regulations brought by them, the Law on the Protection of Personal Data and all other relevant legislation while carrying out their duties.

Observing the Competition Laws

The behaviour which could generate a dominant position in the market with competitors or affect pricing and marketing policies or breach/violate competition regulations is not included in agreements. Competition legislation shall be observed/complied with.

Perspective Towards the Third Parties

Equal distance should be kept to public institutions and organizations, non-governmental organizations and political parties, in all activities, without acting with any expectation of benefit.

Relations with Suppliers, Customers and Business Partners

Always care shall be taken to be honest and fair in relations with all suppliers, customers and business partners. The suppliers, customers and business partners are required to act pursuant to laws and regulations in their activities, protect the rights of their employees, and protect the environment and nature.

All Suppliers, Customers and business partners shall comply with these Ethical Principles and Code of Conduct/Working Principles and act within this framework by way of exchanging/sharing the same values.
